1. Introduction
The general terms and conditions of sale set out below (hereinafter referred to as the “general terms and conditions”), govern the contractual relations between any user
(hereinafter referred to as “the purchaser” or “you”) of the www.cresmods.com website and the A-Knowledge merchant belonging to the company A-Knowledge BVBA,
which has its registered office situated at 53, Mechelsebaan, 3140 KEERBERGEN, BELGIUM (hereinafter referred to as "A-Knowledge" or the "vendor ").
These general terms and conditions of sale are the only applicable ones and, as such, they supersede all other terms and conditions, unless expressly
stipulated otherwise in advance and in writing. A-Knowledge may need to modify some of the provisions of its general terms and conditions from time to time;
furthermore, the latter should be re-read before each visit to the www.cresmods.com website (hereinafter referred to as the "Website"). These modifications
are binding from the moment they are put online and cannot be applied to agreements entered into prior to that time. Each purchase via the website and any other transactions
between the company A-Knowledge and You are bound by the general terms and conditions applicable on the date of the order. When you confirm an order, we consider this
to mean that you have read and accept our general terms and conditions of sale unreservedly.
Read this agreement in its entirety before you install any software or other digital asset published or distributed by A-Knowledge (hereafter referred to as "A-Knowledge sotware").
By installing or using A-Knowledge software, you agree to be bound by the terms of this agreement. If you do not agree, do not install or use A-Knowledge software. All A-Knowledge
software is copyright protected.
If you are entering into this agreement on behald of your employer, the license granted and restrictions and limitations recited herein aplly to your employer as well as to you as
a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this agreement.
2. Orders
You can place an order:
- online via our website: www.cresmods.com. You have direct access to our online stores 24 hours a day, 7 days a week.
We will confirm safe receipt of your order by email.
3. Payment and VAT
Upon placing an non-free order at our website you will be redirected to PayPal for payment. Payments can be made through a valid PayPal account, credit card or other methods made available by PayPal.
All orders will only be executed if the full amount is paid. If the order is only paid partially the order will not be executed. Paypal will be responsible for all kind of credit card payment
and Fraud check. If Paypal does not accept any credit card payment we will not execute any order. For Paypal payments, please check also the Paypal General Terms and Conditions at
www.paypal.com. It is possible, that we will verify Paypal payments if the customer is new or if the customer has made already fraud payments.
Due to new VAT rules in the EU that took effect on January 1st 2015, we had to change the way we sell modules on our website. Within the EU we sell only to registered companies and need to
verify the VAT number for those companies.
The VAT rate for your CresMods purchases will be 21% Belgian VAT for all Belgian companies. Any EU company registered outside of Belgium will not be charged VAT, as under the EU intra-community principle.
Any customer outside the EU will not be charged VAT, as these services are declared as export.
Make sure to properly and truthfully complete your CresMods profile as this will be used to properly bill you. If your profile is incomplete or faulty, you will not receive the correct
invoicing for you purchases.
4. Delivery
When your order is executed and payment is confirmed you will receive an email with all details including a download link for the module.
5. Licensing
A) Extended License Agreement
You may use any number of instances of an Extended Licensed module in any number of your projects. You are granted a non-recoverable,
non-exclusive, and unlimited license to distribute, reproduce, alter or otherwise use the work in products, marketing, and other business matters.
B) Standard License Agreement
You may use any number of instances of a Standard Licensed module in any number of your projects. You may not use the module in any way
that is not specifically allowed by this Agreement. Without limiting the generality of the foregoing, you may not:
- copy, reproduce, distribute, publish or resell this module, any portion of it or modified versions of the module;
- rent, lease, timeshare or sub license this module or any of its parts;
- place this module or any of its parts on any form of online or publicly accessible internet service;
C) Device License Agreement
Each purchase will be licensed to 1 processor by MAC address. You may use any number of instances of a Device Licensed module in one processor.
Upon purchase you can immediate download the module and start using it for testing purposes. It will remain active for 2 hours on every program
restart. To fully unlock the module go to 'My Purchases' and complete your license with the processor's MAC address. You may not use the module
in any way that is not specifically allowed by this Agreement. Without limiting the generality of the foregoing, you may not:
- copy, reproduce, distribute, publish or resell this module, any portion of it or modified versions of the module;
- rent, lease, timeshare or sub license this module or any of its parts;
- place this module or any of its parts on any form of online or publicly accessible internet service;
6. Limited warranty
A-Knowledge software is provided to you as is. A-Knowledge makes and you receive no warranties or conditions, express, implied, statutory,
or in any communication with you, and A-Knowledge specifically disclaims any implied warranties of merchant ability, non infringement and
fitness for a particular purpose. A-Knowledge does not warrant that the operation of A-Knowledge software will be uninterrupted or error free,
will meet your requirements, or will operate with the combination of hardware and software selected by you.
In no event will A-Knowledge be liable for any damages, including loss of data, lost profits, cost of cover or other special, incidental,
consequential or indirect damages arising from the use of A-Knowledge software, however caused and on any theory of liability. This
limitation will apply even if A-Knowledge has been advised of the possibility of such damage. You acknowledge that the license fee reflects
this allocation of risk.
7. Data protection and intellectual property
A) Data protection:
- Above all, we wish to stress the importance that A-Knowledge attaches to respecting its customers’ privacy, and,
therefore, their personal information.
If simply visiting the www.cresmods.com website, you are not in any way obliged to supply your details; your details are only
required if you are requesting information or placing an order.
In the latter case, your details will be used for the purposes of processing and shipping your order.
- Whether gathered for information or for ordering purposes, your personal details will be processed in accordance with the
Data Protection law of 8 December 1992.
- Furthermore, by registering on the website, you are agreeing to supply us with your genuine personal details. The
transmission of false information is contrary to these general terms and conditions.
- Your details will not, under any circumstances, be disclosed to third parties; however, they may be used for promotional
purposes (by email) to offer you new products or inform you of clearance sales, exclusive offers and great deals.
You may, at any time, ask not to receive any further emails of this kind.
B) Intellectual property:
- All content of the www.cresmods.com website (illustrations, text, wording, brands, images, videos) remains the exclusive
property of A-Knowledge. Any partial or total reproduction of this content, by any process or in any format, is subject
to A-Knowledge’s express, advance consent.
- All information, including the content and brochures offered by our departments, is protected by Belgian and international
intellectual property and copyright laws.
- A-Knowledge cannot give you permission to copy, display or distribute any content in respect of which you do not hold
intellectual property rights.
- A-Knowledge cannot, under any circumstances, be held liable for any breach of third party rights perpetrated by a user
by means of that user’s activity on the website.
C) Code of ethics:
- A-Knowledge devotes a lot of care and attention to its website and makes every effort to provide the most complete,
correct, comprehensible, accurate and up-to-date information possible.
Despite its ongoing efforts, A-Knowledge cannot guarantee that the information provided is complete, correct, accurate
or up-to-date.
- If the website experiences any faults, A-Knowledge shall do its utmost to remedy the fault as soon as possible.
- If you notice errors on the www.cresmods.com website, you can contact our website manager.
- The www.cresmods.com website cannot be held directly or indirectly liable for any damages arising as a result of a visit to
the website.
8. Disputes and jurisdictions
Any dispute resulting from the use of our website or any information appearing thereon shall fall under the jurisdiction of the courts of Louvain – Belgium.
Only Belgian law shall apply.
